COMMERCIAL GOVERNANCE

1. Legal Entity & Binding Agreement

These Terms of Service constitute a binding contract between Tumisho Enock Group Companies (PTY) Ltd (Registration Number: 2021/847291/07, trading as "EM Group") and any client, corporate entity, or individual commissioning our engineering, metrology, drone, or SaaS telemetry services.

2. Commercial Drone Operations & Aviation Mandates

All Remotely Piloted Aircraft System (RPAS) operations are performed in strict accordance with the South African Civil Aviation Authority (SACAA) Part 101 regulations:

• Flight missions require prior landowner consent, airspace clearances, and permissible meteorological parameters (winds <35 km/h, zero precipitation).
• EM Group reserves the right to abort or postpone flights if the Remote Pilot in Command (RPIC) deems conditions unsafe under aviation safety law.

3. Engineering, Calibrations & Electrical Compliance

Engineering deliverables, electrical reticulation, and metrology calibrations are executed under recognized professional standards:

• Electrical Works: Executed according to SANS 10142-1 / SANS 10142-2 and certified by Master Installation Electricians.
• SANAS Metrology: Calibrations are traceable to National Metrology Institute of South Africa (NMISA) standards.

4. Proprietary SaaS Platforms (MINEX™ & EMG MDVR)

Access to MINEX™ and EMG MDVR cloud portals is provided on a software-as-a-service subscription basis. Clients agree to maintain confidential user credentials and operate hardware in accordance with manufacturer technical specifications.

5. Quotations, Invoicing & Payment Terms

Formal quotation proposals remain valid for 30 calendar days. Payment terms are strictly 30 days from tax invoice date unless otherwise specified in an executed Service Level Agreement (SLA).

6. Limitation of Liability

EM Group maintains comprehensive professional indemnity and aviation third-party liability insurance. In no event shall EM Group be liable for indirect, consequential, or operational downtime losses beyond the direct fee paid for the specific service rendered.

7. Governing Law

These terms and all commercial agreements are governed by the laws of the Republic of South Africa. Any disputes shall be submitted to the jurisdiction of the High Court of South Africa.
